Thank you for applying to the Chat for Impact Summit (the “Chat for Impact Summit Program” or “Program” or “Grant”). The Program is managed by Praekelt Foundation NPC (“Praekelt.org”), and offered with the support of WhatsApp LLC, 1 Hacker Way, Menlo Park, California, U.S.A. 94025 (“WhatsApp”) and Praekelt PBC, Benefit Corporation (“Turn.io”) provides the platform for hosting the Chat for Impact Summit. Praekelt.org, together with WhatsApp and Turn.io, will hereinafter be known as the Program Entities.
IF YOU DO NOT AGREE TO BE BOUND BY THESE CHAT FOR IMPACT SUMMIT TERMS AND CONDITIONS, YOU MAY NOT PARTICIPATE IN THE PROGRAM OR RECEIVE THE GRANT FUNDING.
Chat for Impact Summit Overview
The Chat for Impact Program is designed to provide tools, training and resources to help organizations around the world that are actively driving social progress through the use of WhatsApp’s messaging services to expand their impact and further their social justice goals. 30 Qualifying organisations (“the Successful Applicants”) will be selected to participate in a three-day virtual Summit and to potentially be chosen to receive the associated benefits described in the Program website, including a subsidized WhatsApp line for one year, and opportunities to connect directly with the WhatsApp team, the Praekelt team, and other Successful Applicants for education, support and mentorship (collectively, “benefits” and each a “benefit”).
Following the three-day virtual Summit, ten of the Successful Applicants will be selected as the recipients of the Grant and Grant Funding (“the Accelerator Participants”) to continue in the 4-Month Chat for Impact Accelerator; these ten Accelerator Participants will each receive grant funding of up to the amount of $50,000 USD and additional support (together, the “Grant Funding”) to develop and launch a WhatsApp service. Program Accelerator Participants selected to continue in the 4-Month Chat for Impact Accelerator and who receive the Grant Funding will be required to sign an additional agreement with Praekelt.org to manage Program Participation and Receipt of Benefits as more fully stipulated below.
A. Program Eligibility and Application Evaluation
To be considered as a successful Applicant and ultimate Accelerator Participant of the Chat for Impact Summit and Grant Funding, your organization must meet the eligibility requirements as described in the Program website and under the FAQs on the Program website. Potentially eligible Program Applicants will be evaluated by the Program Entities and eligibility and participation decisions will be made at the sole discretion of the Program Entities. By agreeing to be considered as a Successful Applicant through the application process, you represent and confirm that:
1. you are at least eighteen (18) years of age and the age of majority in your jurisdiction of residence;
2. you have the authority to enter into these Terms and Conditions as the authorised representative of the organization for which you are submitting an application and the authority to enter into any further agreements with the Program Entities to manage Program Participation and Receipt of Benefits;
3. you understand and agree that these Terms and Conditions are binding on you, individually, and your organization;
4. you understand that the success of your application will include a focus on your organization’s proposed use case which means your proposed use case for the WhatsApp Business Solution, and which may include use of chatbots, and integrations with the WhatsApp Business Solution that further your organization’s mission. You confirm that should your organization’s proposed use case be accepted by the Project Entities, you and your organization agree and warrant that this use case will not be changed or amended and that this is a condition of acceptance;
5. you warrant that your organization has full knowledge of your actions and has consented thereto;
6. you are not a current government official or a family member of a government official (as defined below);
7. the organization for which you are submitting an application is not a government entity, government/state-owned/controlled (e.g., executives, boards of directors), a non-profit organization that represents a government, a private service provider to government/s nor is it publicly funded out of state funds; and
8. you are not located in a country that is subject to comprehensive sanctions nor are you included on any denied party listing published by U.S. or EU governmental authorities. “Government Official” shall refer to any official or employee of any multinational, national, regional, or local government in any country, including any official or employee of any government department, agency, commission, or division; any official or employee of any government-owned or -controlled enterprise; any official or employee of any public educational, scientific, or research institution; any political party or official or employee of a political party; any candidate for public office; any official or employee of a public international organization; and any person acting on behalf of or any relatives, family, or household members of any of those listed above.
You agree to be bound by the decisions of the Program Entities and any judges, compliance committees, selection committees or other Program officials appointed by the Program Entities relating to the Program, the selection of Successful Applicants and Accelerator Participants, and the award of the Grant, which are final and binding in all respects. The Program Entities may update these Terms from time to time, and your continued participation in the Program and/or use of or access to the Services constitutes your acceptance of our amended Terms. If you breach any of these Terms, your participation, including, without limitation, any application you make or any Grant Funding made available to you if you are a successful Accelerator Participant, is VOID and you must immediately forfeit any and all benefits, if any have been provided to you and reimburse the Program Entities for any Grant Funding distributed to you but not yet utilised.
Organizations domiciled in a jurisdiction where the laws of the United States or local law prohibits participating or receiving benefits in connection with a program such as this one or in which the United States has embargoed goods or services are not eligible to participate (including, without limitation, Crimea, Cuba, Iran, North Korea, Sudan, Syria and any other area or jurisdiction designated by the United States Treasury's Office of Foreign Assets Control).
Employees, officers, members, managers, or representatives of WhatsApp LLC, Facebook, Inc. or Praekelt.org or Praekelt PBC, Public Benefit Corporation, as well as the immediate family members and members of the same household (whether or not related) of any such person, are not eligible to participate. The Program is void where prohibited by law.
B. Program Participation and Benefits
Your participation in the Program is contingent upon your continued position as a representative of the organization on whose behalf you are accepting these Terms; should you no longer hold that position, your participation in the Program is subject to termination in the Program Entities’ sole discretion.
Your organization’s participation in the Program, attempted or actual use of or access to related benefits, and use of other WhatsApp products and services are all governed by the WhatsApp Business Terms of Service, including all terms, conditions, and policies incorporated in them (collectively, the “TOS”), and are deemed part of “Business Services” as defined under the TOS. The TOS is incorporated into these Terms by this reference. These Terms are in addition to (and not in lieu of) the TOS.
You affirm and represent that you comply with and will continue to comply with the Program Terms and that you have committed no fraud or deception in applying to the Chat for Impact Summit. You agree that the Program Entities may disqualify you from the Program if they have reason to believe, as determined in their sole discretion, or learn of any act, offense, violation, or crime on your part involving moral turpitude, or which may bring a Program Entity into public disrepute, contempt, scandal or ridicule, or which may insult or offend the Program, the community, or any employee, agent, or affiliate of a Programme Entity, or which may injure a Program Entity’s reputation in its sole judgment.
You agree to comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your involvement in the Program and any content and materials provided therein.
STAGE 1:
30 Successful Applicants who are selected to participate in the Program will be able to access certain of the Program benefits. These will include:
- participation in a 3-day virtual Summit that includes strategic and hands-on sessions hosted by the Program Entities, in collaboration with guest speakers;
- access to all Summit material (including recordings and presentations);
- Invitation and participation in the Chat-for-Impact community of practice.
Successful Applicants are required to attend 100% of the 3-day virtual Summit and should a Successful Applicant not be fully represented by its authorised attendee/s, it shall immediately be disqualified from being considered as an Accelerator Participant as set out below.
You must further be able to connect to the Program’s information technology infrastructure using at least a broadband connection so as to enable you to comply with the obligation to attend 100% of the 3-day virtual Summit.
Turn.io is hosting the Chat for Impact Summit, However, do note that even though the focus of the summit is on using chat to have an impact, all hands-on Summit sessions will be on the Turn.io platform.
STAGE 2:
10 Applicants are selected as Accelerator Participants of the Program, who will receive Grant Funding for the purpose of accelerating the Accelerator Participant’s development and launch of the Participant’s Proposed Use Case. Each Accelerator Participant will be able to access the following additional Program benefits:
- Inclusion in the four-month accelerator program provides dedicated mentorship and support to help build WhatsApp solutions;
- Up to $50,000 to help develop and launch your live WhatsApp service;
- The opportunity for mentorship from social innovation experts;
- Learn from other organizations in a capstone report session at the end of the accelerator; and
- a subsidised WhatsApp line for one year.
Accelerator Participants are required to participate fully in the 4 month accelerator program, to the satisfaction and determination of the Program Entities in their sole discretion and in accordance with an agreed timetable and schedule for such engagement. Failure to do so will result in the Program Entities determining, in their sole discretion, to terminate the Accelerator Participant’s involvement in the Program and all rights to any benefits without notice and without any liability or obligation to provide you with any substitute benefit or other compensation this includes the right to require you to discontinue using and return any and all benefits immediately, unless it specifies a different timeframe.
Accelerator Participants are obligated to use Turn.io as your Business Solution Provider (BSP). All Accelerator Participants will be entitled to utilize the services of any WhatsApp’s authorized Business Solution Providers during Stage 2 when utilizing the subsidised WhatsApp line.
Each Accelerator Participant selected to receive Grant Funding agrees not to use Grant Funding in any way, directly or indirectly, in any way that would violate applicable laws, including, without limitation, in any manner that would constitute bribery, an illegal kickback, an illegal campaign contribution, or any other violation of applicable anti-corruption, political activity, economic sanctions, or other laws.
The Program Entities may terminate the Program or any of the benefits at any time without notice and without any liability or obligation to provide you with any substitute benefit or other compensation. If your participation in the Chat for Impact Summit discontinues for any or no reason, the Program Entities reserve the right to require you to discontinue using and return any and all benefits immediately, unless it specifies a different timeframe.
C. General Terms
The Program Entities may use the information, images, video, copy, data and any other materials (collectively, the “Materials”) you submit in connection with your application for the Chat for Impact Summit or with other participation in the Program to evaluate your application, manage the Program, and as described in the WhatsApp Business Policy. You acknowledge and explicitly consent to the export of the information you submit, including, without limitation, personal information to the United States and its use there for purposes of administering this Program. Information you submit in connection with your application will be stored for as long as necessary for the purposes of administering the Program. For any and all Materials you provide or post in connection with your application, use of benefits, or any other aspect of participation in the Program, you agree and represent that you have all rights and permissions necessary to provide, share, describe, or reference the Materials, and doing so does not violate any applicable laws, rules, or regulations. You understand and agree that your contact information may be made available within the Program Facebook groups. You understand that Program Entities may request that you sign a separate Marketing Release for the use of your Materials for purposes beyond those set forth in these Terms.
In connection with your participation in the Program, you may acquire information that is confidential or proprietary in nature. You agree to use such confidential information only in connection with your participation in the Program and agree to hold in confidence and to not disclose confidential information to any person or entity without the prior written consent of WhatsApp. You agree to keep confidential and secure any and all log in and other information used to access the Program benefits. You understand and agree that a violation of this confidentiality obligation may result in immediate termination from the Program, among other remedies that may be sought by and available to WhatsApp. All of the foregoing confidentiality obligations apply to and are binding upon all Program participants.
You understand that any waiver of any term of the Program Terms in a particular instance will not be a waiver of such term for the future. You agree that the invalidity or unenforceability of any part of the Program Terms will in no way affect the validity or enforceability of any other part hereof.
You acknowledge and agree that the Program Entities cannot guarantee that your participation in the Programme will ensure that your organisation will be able to successfully expand its impact and further its social justice goals. The Program Entities make no representation in this regard. You and your organisation will be solely responsible for making all decisions and taking actions related to your business, including compliance with all applicable laws and regulations, and Participant hereby waives and covenants not to sue the Program Entities or their employees, agents, contractors, or other representatives for any claim related to such matters.
You and your organisation agree to indemnify, defend and hold the Program Entities, our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third party suppliers of information and documents, attorneys, advertisers, product and service providers, and affiliates harmless from any liability, loss, claim and expense, including reasonable attorney's fees, related to your violation of these Terms or your participation in the Program.
Any award to your organization of the status of Successful Applicant or Accelerator Participant is not transferable or assignable nor is any right you may be awarded to use the incubation services under the Program.
